This Confidentiality and Non-Disclosure Agreement ( “Agreement”) is entered into and made effective as of ________________________________ by and between Citcon USA LLC, a limited liability company duly organized and existing under the laws of California and having its principal place of business at 2001 Gateway Place, Suite 410W, San Jose CA 95110, on behalf of itself and its Affiliates (collectively the “Citcon”), and ______________________________ (hereinafter referred to as “COMPANY”), a _____________________ (type of entity) duly organized and existing under the laws of __________ and having its principal place of business at ______________________________________ (Address).

WHEREAS, Citcon and COMPANY are pursuing discussions regarding exchanging information for the purpose of ____________________________ (hereinafter referred to as the “Business Purpose”); and

WHEREAS, Citcon and COMPANY recognize that in the course of their discussions to further the Business Purpose, it may become necessary for either or both parties to disclose any Confidential Information (as defined below), and each party desires to disclose any such Confidential Information subject to the terms and conditions in this Agreement.

NOW, THEREFORE, in consideration of the discussions and sharing of information between the parties, and the premises, conditions, covenants and warranties herein contained, both parties agree as follows:

1. Definitions. For the purpose of this Agreement, the following terms shall have the following meanings:

• “Affiliates” shall mean any of the group of entities which are controlling, controlled by or under common control with Citcon USA LLC, where for purposes of this Agreement, “control” means possessing, directly or indirectly, the power to direct or cause the direction of the management, policies or operations of an entity, whether through ownership of voting securities, by contract or otherwise.

• “Confidential Information” shall mean any and all information of the Disclosing Party, except any information expressly designated by the Disclosing Party as “NON-CONFIDENTIAL”, which is directly or indirectly disclosed by the Disclosing Party to the Receiving Party or comes to the Receiving Party’s knowledge in the course of the contact and communications for the Business Purpose, regardless of the form in which it is disclosed. Confidential Information includes, without limitation, any information in tangible or intangible form, which relates to any research project, work in process, released or unreleased software or hardware product, or future product development plan of the Disclosing Party or any other matter relating to the Disclosing Party such as the Disclosing Party’s engineering, manufacturing, marketing, business plans, strategy, servicing, financing or personnel matters, and includes, without limitation, any know-how, data, process, technique, design, drawing, program, formula or test data, trade secret, prices, techniques, algorithm, and computer program (source and object code), which relates to the Disclosing Party, its present or future products, sales, suppliers, clients, customers, employees, investors or business, whether in oral, written, graphic or electronic form, and any information received from others that the Disclosing Party is obligated to treat as confidential.

• “Disclosing Party” shall mean the party disclosing the Confidential Information.

• “Receiving Party” shall mean the party receiving disclosure of the Confidential Information.

2. Obligations. Each party agrees:

• to hold the other party’s Confidential Information in strict confidence;

• to exercise at least the same care in protecting the other party’s Confidential Information from disclosure as the party uses with regard to its own Confidential Information, but in any event no less than a reasonable degree of care;

• not to disclose such Confidential Information to third parties without the prior written consent of the Disclosing Party. In case Confidential Information has been disclosed to any third party by the Receiving Party in accordance with this Article 2 (c), the Receiving Party shall oblige such third party to whom the Confidential Information of the Disclosing Party is disclosed to maintain the confidentiality of such information in a manner consistent with this Agreement;

• not to reverse engineer, decompile, or disassemble any software and software code disclosed by the Disclosing Party and/or remove, overprint or deface any notice of copyright, trademark, logo, legend, or other notices of ownership from any original or copy of the Confidential Information it obtains from the Disclosing Party; and

• not to use, copy or summarize any Confidential Information except for the purposes of the Business Purpose, provided that any copy is considered Confidential Information and all proprietary markings on the original are retained on the copies made.

Notwithstanding the foregoing, the Receiving Party may disclose Confidential Information of the Disclosing Party in accordance with a judicial or other governmental order, provided that to the extent allowed by law the Receiving Party gives the Disclosing Party prompt written notice prior to such disclosure to allow the Disclosing Party a reasonable opportunity to seek a protective order or the equivalent.

The Receiving Party shall notify the Disclosing Party immediately upon discovery of any unauthorized use or disclosure of the Confidential Information or any other breach of this Agreement by the Receiving Party and/or its employees, consultants or contractors, and will cooperate with the Disclosing Party in every reasonable way to help the Disclosing Party regain possession of the Confidential Information and prevent its further unauthorized use or disclosure.

3. Disclosure. The Receiving Party may disclose the Disclosing Party’s Confidential Information to its responsible employees, consultants and contractors with a bona fide need to know, but only to the extent necessary to carry out the Business Purpose. The Receiving Party agrees to instruct all such employees, consultants and contractors not to disclose such Confidential Information to third parties (including other consultants or contractors) without the prior written permission of the Disclosing Party. Any employee (or consultant or contractor if permitted under Section 2 above) of the Receiving Party to whom the Confidential Information of the Disclosing Party is disclosed shall be bound by a contractual obligation to maintain the confidentiality of such information no less protective of the Disclosing Party than this Agreement.

4. Exceptions. Confidential information shall not include information which:

• is now or hereafter becomes, independent of act or omission on the part of the Receiving Party, generally known or available within the applicable industry, or is now or later enters the public domain through no act or omission on the part of the Receiving Party;

• was acquired by the Receiving Party before receiving such information from the Disclosing Party and without restriction as to use or disclosure;

• was independently developed by the Receiving Party without any reference to, reliance on, access to, usage of and/or knowledge of any of the Confidential Information of the Disclosing Party; or

• is disclosed with the prior written consent of the Disclosing Party.

• The Receiving Party may discloseConfidential Information of the Disclosing Party to the extent compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of the compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party’s cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that Confidential Information.

5. Disclaimers. All Confidential Information is and shall remain the property of the Disclosing Party. Each party recognizes and agrees that nothing contained in this Agreement will be construed as granting any rights to the Receiving Party, by license or otherwise, to or under any patents, copyrights, trademarks, or trade secret.

All Confidential Information is provided “AS IS” without warranty of any kind, and the Receiving Party agrees that in no event shall the Disclosing Party be liable for the accuracy or completeness of the Confidential Information.

None of the Confidential Information disclosed by the parties constitutes any representation, warranty, assurance, guarantee or inducement by either party to the other with respect to the infringement of trademarks, patents, copyrights; any right of privacy; or any rights of third persons.

6. Independent Development. The terms of confidentiality under this Agreement shall not be construed to limit either the Disclosing Party or the Receiving Party’s right to independently develop or acquire materials or intellectual property without use of the other party’s Confidential Information.

7. Independent Contractors. The parties are independent contractors. Each party will bear all costs and expenses it incurs in connection with this Agreement. This Agreement does not obligate either party to enter into a contract except this Agreement, subcontract, teaming agreement, joint venture, or other business relationship with the other party.

8. Binding on Successors. Neither this Agreement nor any right granted hereunder shall be assignable or otherwise transferable by either party without the prior written consent of the other party. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto, and their heirs, administrators, successors and permitted assigns.

9. Termination. This Agreement shall become effective as of the date first above-written, and shall remain in effect for two (2) years thereafter or upon termination by either party upon thirty (30) days’ prior written notice thereof for any reason. Notwithstanding the foregoing, the Receiving Party’s duty to protect Confidential Information in accordance with the terms hereof shall remain in effect and survive the termination of this Agreement for a period of two (2) years thereafter except with respect to trade secrets or any non-public, personal information, which such obligation shall remain in effect until such time as such information is no longer entitled to protection in accordance with the exceptions set forth in Section 4 of this Agreement. Notwithstanding any provision herein to the contrary, the Receiving Party shall immediately cease to use, copy or otherwise exploit the Confidential Information of the Disclosing Party upon termination of this Agreement. Notwithstanding the foregoing, sections 2, 3, 5, 8, 9, 10, 11, and 12 shall survive the expiration or termination of this A

10. Return or Destruction. Upon the termination of this Agreement or upon request at any time by the Disclosing Party, the Receiving Party agrees to cease using the Confidential Information immediately and to return within five (5) business days upon the termination or upon request, to the Disclosing Party all originals, copies, reproductions and summaries of the Confidential Information of the Disclosing Party and all other tangible materials and devices provided to the Receiving Party as Confidential Information. The Receiving Party shall certify in writing that the Receiving Party has complied with the obligation set forth in this paragraph upon request of the Disclosing Party.

11. Governing Law and This Agreement is construed and enforced in accordance with the laws of the State of California and the United States of America without regard to its conflict of law provisions, and the parties agree that in any dispute exclusive jurisdiction and venue must be in the state and federal courts located in Santa Clara County, California, United States of America. The parties mutually acknowledge and agree that they will not raise, and hereby waive, any defenses based upon venue, inconvenience of forum or lack of personal jurisdiction in any action or suit brought in accordance with this provision.

12. Injunctive Relief. Each party acknowledges that all of the Disclosing Party’s Confidential Information is owned solely by the Disclosing Party (and/or its licensors) and that the unauthorized disclosure or use of such Confidential Information would cause irreparable harm and significant injury, the degree of which may be difficult to ascertain. Accordingly, each party agrees that the Disclosing Party shall have the right to an immediate injunction from any court of competent jurisdiction enjoining breach of this Agreement and/or disclosure of the Confidential Information.

13. Entire Agreement, Amendment, and Waiver. This Agreement sets forth the entire agreement between the parties with respect to the subject matter hereof, and revokes and supersedes all prior agreements between the parties and is intended as a final expression of their Agreement. This Agreement shall not be modified or amended except by written agreement signed by duly authorized representatives of the parties hereto. None of the provisions of this Agreement shall be deemed to have been waived by any act or acquiescence on the part of a party hereto, except by an instrument in writing signed by such party; and no waiver of any provision of this Agreement shall constitute a waiver of any other provision(s) or of the same provision on another occasion.

14. Severability. If any provision of this Agreement is declared to be invalid, void or unenforceable, the remaining provisions of this Agreement shall continue in full force and effect.

23) GENERAL PROVISIONS:

• a) LANGUAGE: All communications made or notices given pursuant to this Agreement shall be in the English language.
• b) JURISDICTION, VENUE & CHOICE OF LAW: Through Your use of the Website or Services, You agree that the laws of the State of California shall govern any matter or dispute relating to or arising out of this Agreement, as well as any dispute of any kind that may arise between You and the Company, with the exception of its conflict of law provisions. In case any litigation specifically permitted under this Agreement is initiated, the Parties agree to submit to the personal jurisdiction of the state and federal courts of the following county: santa clara, California. The Parties agree that this choice of law, venue, and jurisdiction provision is not permissive, but rather mandatory in nature. You hereby waive the right to any objection of venue, including assertion of the doctrine of forum non conveniens or similar doctrine.
• c) ARBITRATION: In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration. The arbitration shall be conducted in the following county: santa clara. The arbitration shall be conducted by a single arbitrator, and such arbitrator shall have no authority to add Parties, vary the provisions of this Agreement, award punitive damages, or certify a class. The arbitrator shall be bound by applicable and governing Federal law as well as the law of the following state: California. Each Party shall pay their own costs and fees. Claims necessitating arbitration under this section include, but are not limited to: contract claims, tort claims, claims based on Federal and state law, and claims based on local laws, ordinances, statutes or regulations. Intellectual property claims by the Company will not be subject to arbitration and may, as an exception to this sub-part, be litigated. The Parties, in agreement with this sub-part of this Agreement, waive any rights they may have to a jury trial in regard to arbitral claims.
• d) ASSIGNMENT: This Agreement, or the rights granted hereunder, may not be assigned, sold, leased or otherwise transferred in whole or part by You. Should this Agreement, or the rights granted hereunder, by assigned, sold, leased or otherwise transferred by the Company, the rights and liabilities of the Company will bind and inure to any assignees, administrators, successors, and executors.
• e) SEVERABILITY: If any part or sub-part of this Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and sub-parts will be enforced to the maximum extent possible. In such condition, the remainder of this Agreement shall continue in full force.
• f) NO WAIVER: In the event that We fail to enforce any provision of this Agreement, this shall not constitute a waiver of any future enforcement of that provision or of any other provision. Waiver of any part or sub-part of this Agreement will not constitute a waiver of any other part or sub-part.
• g) HEADINGS FOR CONVENIENCE ONLY: Headings of parts and sub-parts under this Agreement are for convenience and organization, only. Headings shall not affect the meaning of any provisions of this Agreement.
• h) NO AGENCY, PARTNERSHIP OR JOINT VENTURE: No agency, partnership, or joint venture has been created between the Parties as a result of this Agreement. No Party has any authority to bind the other to third parties.
• i) FORCE MAJEURE: The Company is not liable for any failure to perform due to causes beyond its reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
